Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kappi, a weekly Instagram content approval tool operated by Asobi Labs, Inc. ("the Company," "we," "us"). By signing in to Kappi you agree to be bound by these Terms. If you do not agree, do not use the service.
Eligibility and account access
Kappi is currently invite-only. You may use the service only if Asobi Labs, Inc. has invited you and set up an account for your business. You must be at least 18 years old and authorized to act on behalf of the business you connect.
You are responsible for keeping your sign-in credentials confidential and for all activity under your account.
Notify us right away at the address below if you believe your account has been compromised.
The service we provide
Kappi lets you:
- Connect an Instagram business account you own or have explicit permission to manage, through Meta’s OAuth flow.
- Review the posts Kappi proposes each week: edit the text, skip a post for a replacement (within your weekly regeneration budget), or leave a day empty.
- Approve posts for scheduled publishing, and see when they go live on your connected account.
- Read the comments on your posts and reply to, hide, unhide or delete them.
- Read your Instagram direct messages and reply to them within Instagram’s 24-hour window.
- See insights for your posts and account.
The service depends on the Instagram Graph API. Outages or rate limits set by Meta may temporarily prevent publishing.
Your responsibilities
You agree that you will:
- Only connect social accounts you own or are explicitly authorized to manage.
- Comply with Instagram’s Platform Terms and Community Guidelines, and the terms of any other platform you connect.
- Own or hold all rights needed for the photos and content you upload and publish through Kappi.
- Not use the service to publish content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or otherwise violates the law or platform policies.
- Not attempt to bypass rate limits, abuse the publishing flow, or circumvent the service’s technical safeguards.
- Not reverse-engineer, scrape, or attempt to access source code or non-public parts of the service.
You are solely responsible for the content you publish. Kappi is a publishing tool: we do not pre-review, endorse, or take editorial responsibility for your posts.
Intellectual property
You retain all rights to the content you upload and publish through Kappi. By using the service, you grant us a limited, non-exclusive license to host, process, and transmit your content solely to provide the service (for example, to upload your photo to Instagram’s servers, or to render a thumbnail in our UI).
The Kappi software, brand, and design are and remain the property of Asobi Labs, Inc.
Fees
Kappi is currently provided without charge during the pilot phase. If we introduce pricing, we will notify you at least 30 days in advance and update these Terms. Continued use of the service after pricing takes effect means you accept the new terms.
Termination
You may stop using Kappi at any time and request deletion of your account and data.
We may suspend or end your access if you materially breach these Terms, if Meta revokes our access on your behalf, or if we discontinue the service. If we discontinue the service we will give active businesses at least 30 days’ notice.
Disclaimers
Kappi is provided "as is" and "as available." To the maximum extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant uninterrupted access, that posts will publish exactly on schedule despite platform outages, or that any feature will always be available.
Limitation of liability
To the maximum extent the law allows, Asobi Labs, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of (or inability to use) Kappi.
Our total liability for any claim relating to these Terms or the service will not exceed one hundred U.S. dollars (USD $100).
Indemnification
You agree to cover any claim arising from (a) content you publish through Kappi, (b) your violation of these Terms, or (c) your violation of a third party’s rights, including platform terms or intellectual-property rights.
Governing law
These Terms are governed by the laws of the State of New York, United States. Any dispute will be resolved exclusively in the state or federal courts located in New York County, New York.
Changes to these Terms
We may update these Terms from time to time. We will update the last-updated date above and notify active businesses by email of material changes. Continued use after a change takes effect means you accept it.
